According to Reuters, sources familiar with the matter said Musk revealed progress on evaluating a SpaceX-Tesla merger during an investor call this week and publicly expressed his support. The move has unsettled some negotiation participants, potentially delaying talks by several weeks and triggering more extensive legal scrutiny. During the call, Musk stated that both companies are exploring what could become the largest corporate transaction in history and have established special committees to evaluate the proposals. He also acknowledged a conflict of interest, stating he cannot participate in discussions involving either committee. The deal remains in its early stages. According to three sources familiar with the matter, both sides have engaged advisors, and discussed deal structures include SpaceX acquiring Tesla or combining the two companies through a newly established holding company, with consideration arrangements including an all-stock transaction. Musk owns nearly one-fifth of Tesla and just under half of SpaceX. Those involved in the negotiations worry that his public comments will lead investors to question the independence of the special committees and place greater emphasis on how conflicts of interest are addressed.
